1. Acceptance of Terms

By accessing and using the website dbfbricks.shop and the services provided by DBF BRICKS (operating as "DBF Support"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

DBF Support provides professional IT services including but not limited to:

  • Web development and application programming
  • Cloud computing and DevOps solutions
  • Cybersecurity and compliance services
  • Business process automation
  • Data analytics and business intelligence
  • Managed IT support and maintenance

3. User Responsibilities

As a user of our services, you agree to:

  • Provide accurate and complete information when requesting services
  • Comply with all applicable laws and regulations
  • Not use our services for any illegal or unauthorized purpose
  • Respect intellectual property rights
  • Maintain the confidentiality of any login credentials
  • Notify us immediately of any security breaches or unauthorized access

4. Service Terms

4.1 Project Scope and Deliverables

All projects will be defined by a detailed scope of work document that outlines:

  • Specific deliverables and milestones
  • Timeline and deadlines
  • Payment terms and schedule
  • Acceptance criteria
  • Change request procedures

4.2 Intellectual Property

Unless otherwise specified in writing:

  • Client retains ownership of all pre-existing intellectual property
  • DBF Support retains ownership of proprietary tools, methodologies, and general knowledge
  • Custom-developed solutions become client property upon full payment
  • Third-party software licenses remain with respective owners

4.3 Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • Business strategies and proprietary information
  • Technical specifications and system architecture
  • Customer data and personal information
  • Any other information marked as confidential

5. Payment Terms

5.1 Pricing and Invoicing

All services are provided at the rates specified in the project agreement. Invoices are due within 30 days of receipt unless otherwise specified.

5.2 Late Payment

Late payments may incur a service charge of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue payments.

5.3 Refunds

Refund policies are outlined in our separate Refund & Cancellation Policy. Please refer to that document for detailed information.

6. Limitation of Liability

To the maximum extent permitted by law:

  • DBF Support's total liability shall not exceed the total amount paid by the client for the specific service
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for third-party actions or system failures beyond our control
  • Clients are responsible for maintaining adequate backups of their data

7. Service Level Agreement

For ongoing support services, we commit to:

  • Response times as specified in the service agreement
  • Uptime guarantees for hosted services (as applicable)
  • Regular maintenance windows with advance notice
  • Emergency support procedures for critical issues

8. Termination

8.1 Termination by Client

Clients may terminate services with 30 days written notice. Payment for work completed up to the termination date is due immediately.

8.2 Termination by DBF Support

We may terminate services immediately if:

  • Client breaches any material term of this agreement
  • Payment is overdue by more than 60 days
  • Client engages in illegal or unethical activities

9. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

10. Data Protection and Privacy

Our data collection and processing practices are governed by our Privacy Policy. We comply with applicable data protection laws and implement appropriate security measures to protect client information.

11. Dispute Resolution

Any disputes arising from this agreement shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation if negotiations fail
  • Binding arbitration in Delhi, India, if mediation is unsuccessful

12. Governing Law

This agreement is governed by the laws of India. Any legal proceedings shall be conducted in the courts of Delhi, India.

13. Modifications

We reserve the right to modify these terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of the modified terms.

14. Severability

If any provision of this agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

This agreement, together with any project-specific agreements and our Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements.
